Promo Dine Terms and Conditions of Use

Welcome to Promo Dine. By creating an account, purchasing a subscription and/ or using the Promo Dine website, the Subscriber confirms that they have read, understood and agree to be bound by these Terms and Conditions of Use (the “Terms”). These Terms govern the Subscriber’s rights and obligations in relation to their subscription and use of the Promo Dine Platform and services. Definitions

For the purposes of these Terms:

“Promo Dine” means the Promo Dine digital Platform operated by Mr. Luke Psaila Briffa , through which Subscribers are provided with access to discounts offered by participating Restaurant Partners, and includes its authorised representatives acting on his behalf. “Platform” means the digital system operated under the name “Promo Dine”, including but not limited to, the mobile application, website, software interfaces and any related services through which Subscribers access available discounts. “Restaurant Partners” refers to any food or beverage business, including without limitation restaurants, cafés, cafeterias, bistros, takeaway outlets, bakeries, bars, food trucks and similar establishments, that participate in the discount programme from time to time. “Subscriber(s)” means any individual who purchases a subscription to access the Promo Dine platform. “Subscription” means the paid plan selected by the Subscriber which grants time limited access to the Promo Dine Platform and to Discounts made available by Restaurant Partners during the applicable subscription period. “Discount(s)” means promotional price reductions or special offers made available by Restaurant Partners through the Promo Dine Platform, subject to the terms and conditions determined by the relevant Restaurant Partner.

Our Services

Promo Dine provides a digital platform and application through which Subscribers, upon payment of a subscription fee, may access and use promotional discounts made available from time to time by participating Restaurant Partners.

Promo Dine does not itself provide food or beverage services and does not sell, supply or deliver any products. All food and beverage services, including food quality, safety, preparation and service, are provided solely by the relevant Restaurant Partner, who remains fully responsible for compliance with all applicable laws and regulations.

Promo Dine does not act as an agent, broker, representative or partner of any Restaurant Partner, and does not enter into any contract with Subscribers on behalf of any Restaurant Partner. Any contract for the provision of food or beverage services is strictly between the Subscriber and the relevant Restaurant Partner.

Subscription and Payment

Subscribers must pay the applicable subscription fee in advance in order to access the services offered through the Promo Dine Platform. All prices displayed to Subscribers are inclusive of any applicable VAT and other taxes, unless expressly stated otherwise prior to purchase.

Subscriptions are billed on a monthly or annual basis, as selected during the registration process and shall automatically renew at the end of each billing period unless the Subscriber cancels the Subscription before the applicable renewal date.

Subscribers may cancel their Subscription at any time through their account settings on the Platform or by contacting Promo Dine via the contact details provided in these Terms. Cancellation shall take effect at the end of the current billing period, and the Subscriber shall continue to have access to the Platform and available Discounts until that time. No further charges shall be made after the cancellation becomes effective.

By completing the Subscription and accessing the Platform, the Subscriber expressly requests immediate access to the digital service and acknowledges that, once access is granted, the right of withdrawal is lost in accordance with Regulation 18 (m) of the Consumer Rights Regulations, Subsidiary Legislation 378.17 of the Laws of Malta and Article 16(m) of Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights.

Promo Dine does not guarantee that Subscribers shall obtain any minimum level of savings or benefits from the use of the Platform and does not guarantee that the value of discounts redeemed shall exceed the subscription fee paid.

Use of Discounts

Discounts made available through the Promo Dine Platform are offered solely by participating Restaurant Partners and are subject to the terms and conditions determined by the relevant Restaurant Partner. Promo Dine does not control, and does not guarantee, the availability, value, scope or duration of any Discount.

The availability and terms of Discounts may change from time to time. Restaurant Partners may modify, suspend or withdraw Discounts at any time, including where a Restaurant Partner ceases to participate in the Platform. Promo Dine shall not be responsible where any Discount is amended, withdrawn or discontinued.

The list of Restaurant Partners available on the Platform may change at any time, and Promo Dine does not guarantee the continued participation of any particular Restaurant Partner, brand, outlet or location. The removal, suspension, replacement or temporary unavailability of any Restaurant Partner, or of any specific outlet or offer, shall not constitute a breach of these Terms and shall not entitle the Subscriber to terminate the Subscription or to receive any refund or compensation, provided that access to the Platform and to other participating Restaurant Partners remains available, without prejudice to any mandatory rights available to Subscribers under Maltese consumer protection legislation.

Promo Dine does not guarantee availability of seating, capacity or acceptance of walk-ins at Restaurant Partners. Subscribers remain responsible for making reservations where required and for complying with each Restaurant Partner’s booking policies and procedures.

Discounts may be subject to blackout dates (being specific dates or periods during which Discounts are not available), usage limits, minimum spend requirements, exclusions, or other restrictions imposed by Restaurant Partners, including during public holidays, peak periods or special events.

Discounts are intended for personal use only and may not be resold, transferred or commercially exploited. Promo Dine reserves the right to suspend or terminate access to the Platform where misuse, abuse or attempted circumvention of Discount conditions is detected.

Promo Dine shall not be responsible where a Restaurant Partner refuses to honour a Discount due to breach of the Restaurant Partner’s stated conditions, operational constraints, temporary or permanent closure, capacity limits, or force majeure or other events affecting the Restaurant Partner’s ability to provide the relevant service.

Promo Dine does not guarantee that Subscribers shall obtain any particular level of savings or benefit from the use of the Platform, and the availability of Discounts may vary depending on location, time and Restaurant Partner participation.

Subscriber Obligations

Subscribers must be at least eighteen (18) years of age to register for and use the Promo Dine Platform and, by subscribing, confirm that they meet this age requirement.

Subscribers shall provide accurate, current and complete information when registering and shall keep their account information up to date. Subscribers are responsible for maintaining the confidentiality of their login credentials and for all activity carried out through their account.

Subscribers agree to use the Platform in a lawful, responsible and appropriate manner. Discounts may only be used in accordance with the terms and conditions set by the relevant Restaurant Partner and in compliance with these Terms.

Subscribers must not engage in any fraudulent, misleading, abusive or unlawful conduct in connection with the use of the Platform or the redemption of Discounts, and must not interfere with the normal operation of the Platform or attempt to circumvent any technical safeguards or usage controls.

Subscribers are responsible for verifying all relevant information relating to any Restaurant Partner before visiting, including opening hours, availability, reservation requirements and any specific conditions applicable to Discounts.

Subscriptions are personal and may not be shared, transferred, assigned, resold or used for any commercial purpose. Promo Dine reserves the right to suspend or terminate access to the Platform where misuse, abuse or attempted circumvention of Discount conditions or technical safeguards is detected, including where account sharing, automated use or other forms of unauthorised access are identified.

Subscribers may use Discounts only for their own personal dining and must not share, post, publish, resell or otherwise make available any Discount offers or promotional content to third parties, whether online or offline, except where strictly necessary to redeem a Discount at a participating Restaurant Partner.

Promo Dine reserves the right to suspend or terminate a Subscriber’s access to the Platform where these Terms are materially breached or where misuse of the Platform is detected. In such cases, any subscription fees paid shall not be refundable, without prejudice to any mandatory rights available to Subscribers under Maltese consumer protection legislation.

Disclaimer

Promo Dine’s role is limited to providing access to the Platform through which Subscribers may view and redeem Discounts offered by participating Restaurant Partners. Promo Dine does not provide food or beverage services and does not act as an agent, broker, representative or partner of any Restaurant Partner.

While Promo Dine undertakes reasonable due diligence when onboarding Restaurant Partners, it does not control and does not guarantee the ongoing quality, safety, hygiene standards, legality, licensing, pricing, availability or performance of any food, services or experiences provided by a Restaurant Partner.

Each Restaurant Partner remains solely responsible for its food, service, premises and overall customer experience, as well as for compliance with all applicable laws and regulatory requirements. Any dispute, claim or complaint relating to food, service quality, pricing, reservations, availability or treatment at the premises must be resolved directly between the Subscriber and the relevant Restaurant Partner.

Promo Dine does not verify and is not responsible for the accuracy, completeness or timeliness of descriptions, menus, prices, availability, images or promotional content provided by Restaurant Partners and displayed on the Platform.

Complaints relating to food quality, service, pricing, reservations, availability or treatment at Restaurant Partner premises must be addressed directly with the relevant Restaurant Partner. Promo Dine may, at its discretion, forward feedback to Restaurant Partners but has no obligation to intervene in, mediate or resolve such complaints.

Updates and Availability of the Platform

Promo Dine may, at any time, issue enhancements, updates, patches or new versions of the application. These updates may alter, add or remove features or functionality, change system requirements or may modify the way the application operates.

Subscribers acknowledge that certain updates may be required in order to continue using the Platform and that failure to install such updates may result in limited or no access to certain features or to the Platform as a whole.

Promo Dine does not guarantee uninterrupted availability of the Platform and shall not be responsible for any temporary unavailability, reduction in performance or changes to the Subscriber experience resulting from updates, maintenance, security measures, system failures, third-party service interruptions or other technical or operational reasons.

Temporary suspension or interruption of access to the Platform for the reasons set out in this Clause 7 shall not, of itself, entitle the Subscriber to a refund or compensation, without prejudice to any rights that cannot be excluded under applicable law.

Intellectual Property

All rights, title and interest in and to the Promo Dine Platform, including the mobile application, website, software, source code, object code, interfaces, text, graphics, logos, databases, layouts, designs and all other content and materials made available through the Platform, are owned by or licensed to Promo Dine, unless otherwise stated.

Nothing in these Terms grants the Subscriber any right, title or interest in or to the Platform or its content, other than a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

Subscribers must not copy, reproduce, modify, distribute, publish, transmit, display, perform, reverse engineer, decompile, disassemble or create derivative works from any part of the Platform or its content, except to the extent strictly necessary for lawful personal use of the Platform.

Any unauthorised use of the Platform or its content may result in suspension or termination of access and other appropriate measures, which may include legal action.

Communication

Promo Dine may send Subscribers service-related communications by electronic means, including email, in-app messages and push notifications, where such communications are necessary for the performance of the contract, account administration, billing, security, or to provide important information about the Platform or these Terms.

Promotional or marketing communications shall be sent to Subscribers only where the Subscriber has provided valid consent in accordance with applicable data protection, including the General Data Protection Regulation (EU) 2016/679 (GDPR).

Where marketing consent has been given, Subscribers may withdraw their consent and opt out of receiving promotional or marketing communications at any time by following the instructions provided in such communications or through their account settings, without affecting their ability to use the Platform.

Subscribers acknowledge that service-related communications, including those relating to billing, security, account administration and legal notices, are necessary for the operation of the Platform and cannot be opted out of.

No Warranty & Limitation of Liability

Promo Dine does not warrant that the Platform shall be available at all times, uninterrupted or error-free, and shall not be responsible for technical issues, device incompatibilities, internet connectivity problems or failures of third-party systems outside its reasonable control.

To the maximum extent permitted by law, Promo Dine shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data, loss of opportunity or business interruption, arising out of or relating to the Subscriber’s use of, or inability to use, the Platform.

Without prejudice to the foregoing, and to the maximum extent permitted by law, Promo Dine’s total aggregate liability in connection with these Terms and the use of the Platform shall in any event not exceed the total subscription fees paid by the Subscriber during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit any liability which cannot lawfully be excluded or limited under applicable law (including liability for fraud).

If any part of this Section 10 is held to be invalid or unenforceable, the remaining parts shall continue to apply to the maximum extent permitted by law.

Indemnity

Subscribers agree to indemnify and hold harmless Promo Dine from and against any losses, damages, liabilities, costs and expenses (including any reasonable legal fees) arising out of or in connection with: The Subscriber’s misuse of the Platform; Any material breach of these Terms by the Subscriber; Any violation of applicable laws or regulations by the Subscriber; or Any dispute or claim arising from the Subscriber’s interaction with a Restaurant Partner, except to the extent caused by Promo Dine’s breach of these Terms.

This indemnity shall not apply to the extent that any claim or loss arises directly from Promo Dine’s wilful misconduct or material breach of these Terms.

Force Majeure

Promo Dine shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, strikes, power outages, telecommunications failures, cyber incidents, hosting failures or other events affecting infrastructure or third-party service providers (“Force Majeure Event”).

During the continuation of a Force Majeure Event, Promo Dine’s obligations shall be suspended to the extent affected by the Force Majeure Event.

Promo Dine shall use reasonable efforts to restore the availability of the Platform as soon as reasonably practicable after the Force Majeure Event has ceased.

Temporary unavailability of the Platform due to a Force Majeure Event shall not, of itself, entitle the Subscriber to any refund or compensation, without prejudice to any mandatory rights available to Subscribers under Maltese consumer protection legislation.

Suspension, Modification and Discontinuation of the Platform

Promo Dine reserves the right, at any time, to modify, suspend or discontinue, temporarily or permanently, any part of the Platform, including features, functionality, or availability of services, for technical, commercial, regulatory or operational reasons.

Where reasonably practicable, Promo Dine shall seek to provide advance notice of material changes or permanent discontinuation of the Platform through the Platform or by electronic communication.

Temporary suspension or modification of the Platform shall not, of itself, entitle the Subscriber to terminate the Subscription or to receive any refund or compensation, without prejudice to any mandatory rights available to Subscribers under Maltese consumer protection legislation.

In the event of permanent discontinuation of the Platform, Promo Dine may terminate all Subscriptions with effect from the date of discontinuation. In such case, Subscribers may be entitled to a pro-rata refund of any prepaid subscription fees relating to the unused portion of the Subscription period, where required by applicable law.

Termination

Subscribers may cancel their Subscription at any time through their account settings or by following the cancellation procedures made available on the Platform. Cancellation shall take effect at the end of the current billing period, and access to the Platform shall continue until that time, unless otherwise stated.

Promo Dine may suspend or terminate a Subscriber’s access to the Platform with immediate effect where the Subscriber materially breaches these Terms or where misuse or abuse of the Platform is detected.

Where termination occurs due to a Subscriber’s breach of these Terms, no refund shall be payable in respect of any subscription fees already paid, without prejudice to any mandatory rights available to Subscribers under Maltese consumer protection legislation.

Termination of a Subscription shall not affect any rights or obligations which by their nature are intended to survive termination, including provisions relating to intellectual property, limitation of liability, indemnity and governing law.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, such provisions shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the relevant provisions shall be deemed deleted and the remaining provisions shall continue in full force and effect.

Privacy and Data Protection

All personal data is processed in accordance with the Data Protection Act, Chapter 586 of the Laws of Malta and the General Data Protection Regulation (EU) 2016/679 (GDPR). Promo Dine does not disclose Subscribers’ personal data to Restaurant Partners. Restaurant Partners do not receive access to Subscriber accounts or personal data through the Platform and interact with Subscribers only at the point of service at their own premises, in accordance with their own privacy policies and legal obligations.

Further information on how personal data is processed, including purposes, legal bases, retention periods and data subject rights, is set out in Promo Dine’s Privacy Policy, accessible on the website and within the application, which forms an integral part of these Terms.

Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to the Promo Dine application or its services shall be governed and construed in accordance with the laws of Malta.

Subject to Clause 17.3., any disputes relating to these conditions shall be subject to the exclusive jurisdiction of the courts of Malta.

Nothing in these Terms shall limit or deprive Subscribers of any mandatory consumer protections or rights available under the laws of their country of residence within the European Union.

Assignment

Promo Dine may assign or transfer its rights and obligations under these Terms, in whole or in part, to any successor, affiliate or purchaser of its business or assets, provided that such assignment does not reduce the rights of Subscribers under these Terms or under applicable consumer protection laws.

Changes to the Terms

Promo Dine may amend or update these Terms from time to time for valid reasons, including changes in legal requirements, business practices, functionality of the Platform or security considerations.

Updated versions of the Terms shall be published on the Platform and made accessible to Subscribers, and where the changes are material, reasonable notice shall be provided.

The updated Terms shall apply to all Subscribers from the effective date stated on the Platform and shall supersede and replace any previous versions.

Continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the revised Terms. If a Subscriber does not agree to the updated Terms, the Subscriber may cancel the Subscription in accordance with these Terms.
